Letter of intent
Letters of intent may be submitted during the approval period of the Operating and Access Regulation. They are registered in the order received, and a reply is given immediately after the Regulation is approved by the Iași County Council.

ANNEX 2 to the Operating and Access Regulation of the “IAȘI INDUSTRIAL PARK” – LEȚCANI Industrial Park
LETTER OF INTENT
for obtaining resident status in the “IAȘI INDUSTRIAL PARK” – LEȚCANI Industrial Park and the allocation of a unit/plot
TO: IAȘI INDUSTRIAL PARK S.R.L., as Administrator of the Industrial Park, for the attention of the company's executive management, and, for information, the Iași County Council, for the attention of the President
The undersigned ……………………, a legal entity of Romanian/foreign nationality, with registered office at ……………………, registered with the Trade Register/competent register under no. ……………, tax ID no. ……………, legally represented by ……………………, as director/general manager/proxy, hereby expresses its firm intention to obtain resident status in the “IAȘI INDUSTRIAL PARK” – LEȚCANI Industrial Park and to obtain, as applicable, a right of use over an available unit/plot, under the Regulation, as well as, subsequently, the possibility of acquiring ownership of the land under Chapter XI of the Regulation.
1. Procedure requested
☐ Participation in the OPEN TENDER procedure for the allocation of an available unit/plot, under the Regulation, Annex 5 – Open tender procedure and the tender documentation.
☐ Request to initiate the DIRECT NEGOTIATION procedure, in the cases and subject to the conditions set out in the Regulation and Annex 4 – Direct negotiation procedure.
2. Details of the proposed investment
2.1. Purpose of the investment, the establishment and operation of a production/warehousing/services/R&D/logistics unit, with the main activity: …………… (brief description).

2.3. Estimated value of the investment, the total proposed investment is estimated at …………… EUR, including: (a) the value of the buildings to be erected on the land granted for use; (b) the value of the fixed assets used in the authorised activity, excluding concrete platforms. Where direct negotiation is requested, the declared value must allow verification of the conditions in Annex 4.
2.4. Estimated implementation period, approximately …… months/…… years, from the date set by the Regulation and the applicable contracts. Mandatory maximum deadlines (art. 14.5): (a) building permit – within 4 months of contract signature; (b) start of works – within 1 year; (c) completion and acceptance – within 2 years; (d) commissioning – within 2 months of acceptance. For large-scale investments, the special deadlines of art. 14.7 apply as appropriate.

3. Economic and social impact

3.2. 4. Undertakings regarding the Regulation and the legal framework
- 4.1. To comply fully with: (a) the Operating and Access Regulation and its annexes; (b) the administration and related-services contract concluded with IAȘI INDUSTRIAL PARK S.R.L. and, as applicable, the land use contract concluded with Iași County or the lease contract; (c) the legislation on planning, construction, environmental protection, occupational health and safety, fire prevention, waste management and any other applicable rules.
- 4.2. To carry out only activities for which we hold or will obtain all necessary authorisations, permits and licences.
- 4.3. Not to change the activity profile on the basis of which the offer was accepted without the Administrator's prior written consent and compliance with the Regulation.
- 4.4. To use the unit and the shared infrastructure with the diligence of a good owner and in compliance with the internal rules on pedestrian and vehicle traffic, environmental protection, occupational health and safety, fire and emergency situations, and the use of common areas and green spaces.
- 4.5. To honour the investment value, the number of jobs, the implementation deadlines and the other indicators undertaken herein and in the bid, insofar as they are included in the contracts concluded.
5. Participation guarantee and sources of financing
5.1. We declare that we have/will have sufficient financial resources to carry out the investment in the amount undertaken, from: ☐ own funds · ☐ bank loans/financing lines · ☐ other lawfully constituted sources.
5.2. We undertake to provide the participation guarantee of RON 8,000 (eight thousand), under the Regulation and the applicable procedure, and acknowledge that it follows the legal regime set out in the Regulation and the allocation procedure.
6. Documents attached
In accordance with the Regulation and the applicable procedure, we attach, as applicable, in copy, certified copy or authorised/legalised translation:
- the Trade Register/equivalent registration certificate
- an up-to-date registry excerpt
- the criminal record certificate of the director/legal representative, where required
- tax clearance certificates (state and local budgets) or equivalent documents from the state of origin
- the constitutive documents/articles of association
- financial statements for the last 3 financial years, where such history exists
- the decision of the competent corporate body approving the investment and, as applicable, of the parent company
- the power of attorney for participation and signature
- the forms on the investment undertaking, the jobs undertaking and their creation schedule, and the environmental declaration
- evidence of financial capacity, liquidity, credit facilities or other lawful sources
- the business plan showing the viability and sustainability of the investment
- proof of the RON 8,000 participation guarantee, where required at this stage
- supporting documents on economic and strategic impact, sustainability, export orientation, advanced technologies or other assessed elements
- any other documents required by the Regulation, Annex 4 or Annex 5, the terms of reference, the participation notice or the invitation to negotiate
The requirements for the letter of intent and its accompanying documents are set, for direct negotiation, by Annex 4 and, for the open tender, by Annex 5 and the tender documentation.
